Director Independence Care is taken to ensure that the Board of Directors is constituted of a substantial majority of individuals who qualify as Directors who are independent of management, in accordance with regulatory and stock exchange requirements. To assist in determining the independence of its members, the Board has established Guidelines on the Independence of the Directors of Alcan Inc. Except for Richard B.
