POSITION DESCRIPTION FOR THE CHIEF EXECUTIVE OFFICER OF ALCAN INC. The Chief Executive Officer of Alcan Inc. (the “Company”) shall have responsibility for the general management and direction of the business and affairs of the Company and shall have all powers and perform all duties incident to the office of Chief Executive Officer. The Primary Responsibilities of the Chief Executive Officer include: providing leadership and vision to manage Alcan in the best interests of its shareholders and other stakeholders; developing strategic direction and initiatives to maximize shareholder value; requiring that all business activities and operations are conducted in compliance with applicable laws, regulations and the Worldwide Code of Employee and Business Conduct; overseeing the ongoing development and communication of Alcan’s policies and practices and fostering ethical and responsible decision-making by senior management; overseeing the implementation of the Alcan’s management systems; keeping the Board of Directors fully informed in a timely manner of the information necessary for it to fulfill its mandate; serving as the primary external spokesperson communicating with the shareholders, financial and investment community and other key stakeholders; implementing succession plans for the members of senior management; and assigning to the other members of senior management of the Company such powers and duties as he or she may deem advisable.
